Corporate groups from various sectors and at various stages of their growth trajectory seek our advice across a range of areas, examples of which are the following:
Non-EU groups looking to set up trading operations to the EU may be looking for support in selecting an appropriate jurisdiction within which to operate having regard to business, legal and financial considerations. We have assisted a trading group looking to source fast-moving consumer goods from within the EU for onward export to Africa. Having determined that Malta was the ideal jurisdiction given its proximity to the targeted client base, we implemented a Malta double holding/trading structure. We then supported the Group by assisting it with establishing its operations in Malta, assisting key members of the group to obtain Malta residency, providing ongoing accounting, tax and payroll services as well as ad-hoc advisory services.
A Corporate group with a private equity investment focus was looking to expand its footprint by expanding its non-European target investment base to the EU and other non-EU jurisdictions. Having completed a comprehensive jurisdictional comparison which included consideration of various EU holding structures, we were tasked with implementing a Luxembourg investment holding structure with multiple underlying Malta-domiciled special purpose vehicles being put in place to acquire each private equity target as well as separate SPVs for debt-raising purposes. In conjunction with our Luxembourg partner, we continue to provide accounting and tax support services and support the client at both pre-and post-transaction closings.

Private Client Solutions

In the private clients space we assist clients and their advisors identify bespoke solutions focussing on their specific requirements and objectives. The following cases are typical examples of matters we have assisted our clients with:

Relocation of non-EU resident professional and his family to Malta. Malta provides an attractive residency and tax programme applicable to non-EU, non-EEA and non-Swiss Nationals seeking Malta tax residency. Subject to certain conditions being fulfilled, this provides for the beneficiaries to be eligible to a 15% income tax rate on the remittance of income and no tax on foreign source capital gains. In addition to assisting with securing Malta tax residency under the programme, our team also assisted the client with identifying and structuring the purchase of property in Malta.

A similar tax programme applies to EU, EEA and Swiss Nationals

Relocation of EU or non-EU clients to other jurisdictions. A case in point is the relocation of HNWI’s, entrepreneurs or pensioners taking up tax residency in Portugal. Working with our partners, we have assisted clients taking up tax residency in Portugal in terms of Portugal’s non-habitual resident scheme. In the latter case, amongst a number of matters requiring careful planning, clients may need to consider restructuring their asset holdings prior to taking on Portuguese tax residency. For this purpose, a Malta trading company can be used as part of an overall wealth planning solution. In addition to undertaking the restructure we also provide post-implementation support by providing local directors, accounting, company taxation and ongoing corporate services.
